PLEASANT VIEW HOMEOWNERS ASSOCIATION

RESOLUTION

Amendment to Bylaws of the England’s Pleasant View

Homeowners Association, Inc.

Whereas the Board of Directors by affirmative vote of a two-thirds majority of those Directors in attendance, may at any meeting where a quorum is present amend or alter any of these Bylaws provided the substance of the proposed amendment shall have been stated in the notice of the meeting; and

WHEREAS the Bylaws of the England’s Pleasant View Homeowners Association, Inc. differentiate between Board Members (Section 4 – Board of Directors) and their specific Officer designations (Section 6 – Officers); and

WHEREAS Article 4.1 of the Bylaws of Pleasant View Homeowners’ Association charges the Board with the powers and duties necessary for the administration of the affairs of the Association; and

WHEREAS Article 6.1 of the Bylaws states each Officer shall be a Member in good standing of the Association and each Officer shall be a member of the Board of Directors and shall be elected by a majority vote of the Board.

WHEREAS board member duties are to attend meetings and vote on important association issues, but in their dual role as an Officer, they most often provide services above and beyond those of a Board member.

THEREFORE, in these circumstances it is reasonable, and in the best interest of the association, to compensate an Officer in some manner for additional time and effort.

 

NOW, THEREFORE, BE IT RESOLVED the following Amendment to the Bylaws of  the England’s Pleasant View Homeowners Association, Inc., Section 6 to read:

 

Section 6.6 Salaries, Loans to, or Guarantees for Officers.

The Board of Directors may fix and/or adjust salaries of the officers from time to time.

The Association may not lend money to or guarantee the obligation of an officer of the Association.

Second Amendment

Of The

Bylaws of Pleasant View Homeowners’ Association

The undersigned, acting on behalf of the Association, and pursuant to an affirmative vote of a two-thirds majority of those Directors in attendance at a Regular Meeting on March 16th, 2015 (Article 11.1 of the Bylaws, recorded July 7, 2010), hereby amend the Bylaws as follows:

6.6 Salaries, Loans to, or Guarantees for Officers.

The Board of Directors may fix and/or adjust salaries of the officers from time to time.

The Association may not lend money to or guarantee the obligation of an officer of the Association.

 The Amendment set forth herein shall be fully incorporated into the Bylaws upon execution.
